Terms of Service

1. Acceptance of Terms
By accessing or using Brine ("Service"), operated by Neutral Party, Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
3. Description of Service
Brine provides a The Agent Management Platform — a collaborative workspace of AI agents with channels, integrations, skills, compliance tools, and enterprise governance. Features and availability are subject to change at our discretion.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@brine.ai if you suspect unauthorized access.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable regulations
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any portion of the Service
- Transmit malicious code, viruses, or disruptive data
- Resell or sublicense the Service without written authorization
- Use the Service to process data in violation of HIPAA, CMMC, FedRAMP, or other applicable compliance frameworks without proper authorization
6. Fees and Payment
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
7. Intellectual Property
All content, software, and technology comprising the Service is owned by Neutral Party, Inc. or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
8. Customer Data
You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service. We will not access, use, or disclose Customer Data except as necessary to operate the Service or as required by law.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and to use such information only for purposes of these Terms. This obligation survives termination.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUTRAL PARTY, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless Neutral Party, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will do so.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
15. Changes to Terms
We may update these Terms at any time. Material changes will be communicated with at least 14 days' notice via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
